Question asked

Vault Minerals Ltd (ASX: VAU)

Hi MM I hold Vault Minerals and need to decide on the presented optionsre the merger with Genesis. I would be interested in your thoughts on the combined business? Cheers Phil

Answer

Hi Phil,

For background: Genesis Minerals (GMD) is acquiring Vault Minerals (VAU) through a scheme of arrangement, creating a significantly larger Australian gold producer. Under the proposed deal, Vault shareholders will receive 0.7629 new Genesis shares plus 47.5c cash for each Vault share held. Following completion, Genesis shareholders will own approximately 59.8% of the enlarged group, with Vault shareholders holding the remaining 40.2%.

The merger between Genesis Minerals (GMD) and Vault Minerals (VAU) will create one of Australia’s largest gold producers, with combined FY27 production guidance of approximately 625,000–675,000 ounces, placing it among the top five ASX-listed gold miners. The increased scale should deliver stronger cash flow, greater institutional appeal and improved operational diversification.

  • Importantly, both companies enter the merger with net cash positions, while GMD management has flagged a strategic review of the combined portfolio, potentially selling non-core assets to focus on higher-quality, lower-cost operations.

Ultimately, we think the deal makes sense and the combined group will have a solid future, though at this stage we prefer others based on current pricing i.e. Evolution (EVN), Bellevue Gold (BGL) and Ramelius (RMS).
