Directors trading & archives of MM Q&A

Evening James & Team, I asked a question several weeks ago about why directors are allowed to trade before the release of company results. I don't think that had been answered. Would you please advise where the subscribers' questions & answers are archived? Thanks & regards, Sidney

Answer

Hi Sidney,

All answered questions are available on the Q&A page of the site plus they also go on the specific company page if they are about a specific company. Here is the link to the Q&A page: https://marketmatters.com.au/market-matters-qa/

Sorry if we missed your question RE director selling.

There are prescribed times directors  can sell stock and when they cannot. There is a blackout between the end of a reporting period such as June 30 and the release of results when directors cannot trade – this is fairly straight forward, however there are other times when it is more grey, and valid arguments could be made where directors are trading on information that is not available to the public. That in itself is illegal as directors have obligations around continuous disclosure, i.e. they must inform the market of any ‘material’ information around company performance – the term material being the key one. If you want some further reading, here is guidance from the ASX around this concept: ASX Guidlines
