Hi Guys, RHC is intending to distribute their Sante holdings in specie, to RHC holders. What are the benefits to us, and how would one be able to sell Sante shares? ln OZ on ASX?

Hi Tony,

For background Ramsay Health Care (RHC) owns 52.8% of European hospital operator Ramsay Santé, which operates almost 500 facilities across five countries. Rather than selling the stake, RHC plans to demerge it to existing RHC shareholders, with completion targeted for December 2026, subject to shareholder, court and regulatory approvals.

  • This position has been one of the primary reasons for RHCs poor performance over recent years.

RHC shareholders will receive their entitlement through CHESS Depositary Interests (CDIs), with Ramsay Santé seeking an ASX foreign exempt listing. In simple terms, shareholders will end up owning RHC shares plus separately tradeable Ramsay Santé CDIs, which can be bought or sold through a normal Australian brokerage account.

The demerger has several attractions:

  • Most importantly, it leaves RHC as a simpler, predominantly Australian hospital operator, while removing the European business that has struggled with government-controlled tariffs and rising labour costs.
  • It also avoids RHC having to sell Ramsay Santé into a potentially weak market, shareholders instead receive the asset directly and can decide whether to hold or sell it.

We believe the demerger should simplify RHC and remove a longstanding drag on its valuation, while giving shareholders flexibility over their Ramsay Santé exposure. However, once the CDIs start trading, we would assess Ramsay Santé as a standalone investment rather than automatically holding it simply because it was received through the demerger.
