Hi John,

We answered a very similar question last week here, our view hasn’t changed.

Global Lithium Resources (ASX: GL1) has agreed to a $333m all-cash takeover by Titan Australia Mining at $1.15 per share, with the board unanimously recommending the deal, subject to a favourable independent expert’s report and no superior proposal.

The timing is particularly interesting following GL1’s $7m acquisition of IGO’s Nova nickel operation, with a subsequent integration study suggesting that repurposing Nova’s existing infrastructure could double the estimated post-tax NPV of the Manna lithium project from $472m to $946m. Titan, part of the UAE-based Titan Lithium group, clearly sees strategic value in Manna, with the transaction also providing access to up to $120m in development funding while the takeover progresses.

After years of frustration for GL1 shareholders, we believe the takeover has a strong chance of proceeding, particularly given unanimous board support and the absence of financing or further due diligence conditions. However, shareholder approval, regulatory clearance and a favourable independent expert’s report remain important hurdles, with completion currently targeted for January 2027.

With GL1 trading around $1 against the $1.15 offer, the market is still allowing for meaningful execution risk.

  • MM would still assign a ~90% probability of completion, although recent takeover disappointments remind us that even seemingly straightforward deals are never guaranteed.
