Vocus (VOC) takeover accepted $5.43

The board of telco business Vocus (VOC) has unanimously recommended the $5.50/share offer for the business from Macquarie Infrastructure (MIRA). The bidder joined forces with Aware Super to complete the offer which will see Vocus shares take off the ASX boards by the middle of this year. It values Vocus on a healthy 12x EV/EBITDA and was a 26% premium to close on the 5th of February, prior to the deal being announced.

Vocus (VOC) $4.94

Yesterday we saw Vocus (VOC) receive its 3rd takeover offer from a consortium led by Macquarie Infrastructure, the non-binding indicative $5.50 offer values the business at $3.4bn but with the stock closing at $4.94 confidence is clearly muted that the deal will eventuate. VOC has granted due diligence but warned it’s not a guarantee any deal will proceed although we feel it might well be 3rd time lucky!

Vocus (VOC) $4.25

VOC has been mentioned a couple of times already in 2021 including in conjunction with a potential switch to Telstra (TLS). However as a standalone our target for VOC has been the $4.50 area and when / if this is achieved I believe assuming there’s no fresh stock specific news in the market MM will look to deploy the funds elsewhere, potentially into TLS but as always we are openminded.

MM holds VOC in our Growth Portfolio, a position that’s looked after us since our purchase last August. We remain bullish looking for another ~10% upside but if we are long TLS at the time we are likely to consider taking our money if this move does unfold. The 2020 Financial Year was the 1st in the companies 3-year plan to turnaround the telco and the business delivered reoccurring revenues of $1.75bn with earnings expected to grow this year, the stock trades on a fair valuation considering its outlook and value of its underlying assets but above recent highs it won’t look compellingly cheap.
